Terms of Service
These Terms of Service govern your use of the Graft mobile application, web application, and any related services (together, "the Service") operated by Morgan & Co Enterprise Ltd ("Graft", "we", "us"), registered in England and Wales under company number 17171213.
By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. Eligibility
You may use Graft if you:
- Are at least 18 years old;
- Are based in the United Kingdom;
- Are self-employed or running a trade business (electrician, plumber, builder, or similar); and
- Agree to these Terms and our Privacy Policy.
2. Your account
You are responsible for keeping your login credentials secure. Do not share your password. You are responsible for all activity that takes place under your account. If you believe your account has been compromised, contact us immediately at hello@graftassistant.co.uk.
3. The Service
Graft provides tools to help you manage your trade business — jobs, invoices, quotes, clients, and an AI assistant. We aim to keep the Service available at all times, but we do not guarantee uninterrupted access. We may carry out maintenance or deal with technical issues that cause temporary downtime.
AI assistant
The in-app AI assistant is powered by third-party large language model technology. It is intended to assist with business tasks. It is not a substitute for professional legal, financial, or tax advice. Do not rely solely on AI responses for decisions that require a qualified professional.
Payments
Payments processed through Graft are handled by Stripe. By making a payment you also agree to Stripe's Services Agreement. We do not store your full card details.
Mileage
Graft can work out your business mileage from the jobs you log, using driving distances and the HMRC approved mileage rates. The route and miles are a draft for you to check: you can change the order of stops or type in the miles you actually drove before you save them. You're responsible for the accuracy of your mileage claim — check the route and miles before you save, and before you use them in a claim or tax return. Graft does not verify the journeys you actually made. Mileage figures are not tax advice; check with your accountant if you're unsure what you can claim.
Sending figures to HMRC and to your accountant
If you connect HMRC (Making Tax Digital for Income Tax) or an accounting product such as Xero, Graft adds up the invoices, expenses and mileage you have recorded and shows you the result before anything is sent. Nothing is sent to HMRC or to your accounting product until you tap Send. The figures are your own records, added up; Graft does not estimate, infer or generate them. You are responsible for checking them before you send, for the completeness and accuracy of the records behind them, and for meeting your own filing deadlines. Graft keeps a copy of what was sent and HMRC's reference so you can see it later. Graft is not an accountant and these figures are not tax advice; if you are unsure what to include, ask your accountant before you send. We may withdraw or suspend the HMRC connection if HMRC changes its requirements.
4. Subscriptions and billing
Graft may offer free and paid subscription tiers. Current pricing and features are displayed in the app and on our website. We will give you reasonable advance notice of any price changes. If you are on a paid plan and we change the price, you may cancel before the new price takes effect.
Refunds are handled at our discretion. If you believe you have been charged incorrectly, contact us within 14 days of the charge at hello@graftassistant.co.uk.
5. Your data
The jobs, invoices, quotes, and client data you enter into Graft belong to you. We process it only to provide the Service as described in our Privacy Policy. We do not claim ownership over your business data.
You are responsible for the accuracy of data you enter and for ensuring that any personal data relating to third parties (such as client names and contact details) is handled in accordance with UK GDPR.
6. Acceptable use
You agree not to use Graft to:
- Do anything illegal or fraudulent;
- Store data about individuals without a lawful basis under UK GDPR;
- Attempt to hack, reverse-engineer, or disrupt the Service or its infrastructure;
- Use automated tools to scrape or extract data from the Service;
- Impersonate another person or business;
- Send unsolicited commercial communications to your clients via Graft.
We reserve the right to suspend or terminate accounts that breach these rules without notice in serious cases.
7. Intellectual property
The Graft Service, its design, branding, and underlying code are owned by Morgan & Co Enterprise Ltd. You may not copy, reproduce, or redistribute any part of the Service without our written permission. The "Graft" name, logo, and "Put in the Graft." tagline are our trademarks.
8. Limitation of liability
To the fullest extent permitted by law:
- We are not liable for any loss of data, loss of profit, or indirect or consequential losses arising from your use of the Service.
- Our total liability to you in any 12-month period is limited to the amount you paid us in that period, or £50 if you are on a free plan.
- Nothing in these Terms limits our liability for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded by law.
9. Termination
You may delete your account at any time in the app. We will delete your personal data within 30 days of account closure, except where we are required to retain it by law (e.g. billing records for 7 years under HMRC requirements).
We may suspend or terminate your account if you breach these Terms, if we reasonably suspect fraudulent activity, or if we decide to discontinue the Service. We will give you reasonable notice where possible, except in cases of serious breach.
10. Changes to these Terms
We may update these Terms from time to time. We will notify you by email or in-app notification at least 14 days before material changes take effect. Continuing to use Graft after that point means you accept the updated Terms.
11. Governing law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
